These Terms and Conditions ("Terms") govern your access to and use of our website, www.loylt.works (the "Site"), our L1.Loyalty platform, and all related services, applications, tools, and loyalty program solutions provided by Loyltworks ( "Loyltworks," "we," "us," or "our") (collectively, the "Services"). As a product-based company offering a Platform as a Service (PaaS) loyalty platform, L1.Loyalty enables businesses to design, deploy, and manage sophisticated loyalty programs tailored to their needs. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

These Terms apply to all users, including but not limited to visitors, registered users, business clients, merchants, end customers, and partners who interact with the Services.

If you are entering into these Terms on behalf of a company, organization, or other legal entity ("Entity"), you represent and warrant that you have the authority to bind such Entity to these Terms, in which case "you" or "your" refers to such Entity. If you do not have such authority or do not agree with these Terms, you must not access or use the Services.

The Services are provided on a subscription basis, with pricing and feature access determined by your chosen plan (e.g., Starter, Pro, Enterprise) or as customized in a separate agreement with us. 8.1 Subscription Fees

Access to certain features of the L1.Loyalty platform requires a paid subscription. Subscription fees are based on your selected plan and charged monthly, quarterly, or annually, as specified on our website, merchant agreement, or in your SOW. You agree to:

Fees are due in advance and are non-refundable, except as required by law or as specified in your SOW or merchant agreement.

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

We may suspend or terminate your access to the Services for non-payment, with prior notice. Once suspended or terminated, a reactivation fee will apply to restore your license.

8.4 Price Changes

We reserve the right to modify subscription fees or introduce new charges at our discretion. We will provide at least 15 days’ notice via email or on our Site for material changes to pricing. Your continued use of the Services after the effective date of a price change constitutes your acceptance of the new fees.

Your Responsibilities: You are responsible for ensuring that any data you collect, process, or share through the Services (e.g., customer data) complies with applicable data protection laws. You must obtain necessary consents from end customers before processing their personal information.

10.4 Data Retention

We retain your account data and User Content for as long as necessary to provide the Services or as required by law. Upon termination, we may delete or anonymize your data in accordance with our data retention policies.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Loyltworks, its affiliates, officers, directors, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to:

Our total aggregate liability for any claim arising under these Terms or the Services will not exceed the total fees paid by you to us for the Services in the twelve (12) months immediately preceding the claim. We are not liable for any failure to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, cyberattacks, or government actions.

You agree to indemnify, defend, and hold harmless Loyltworks, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising from or related to:

13. Dispute Resolution

13.1 Negotiation and Mediation

Any disputes arising from or relating to these Terms or the Services will first be addressed through good-faith negotiations between the parties. If the dispute remains unresolved after 30 days, either party may request mandatory mediation, to be conducted in Bangalore, Karnataka, India, by a neutral mediator agreed upon by both parties.

We may update or modify these Terms at our sole discretion to reflect changes in our Services, legal requirements, or business practices. For material changes, we will provide at least 15 days’ notice via email, on our Site, or through the L1.Loyalty platform. Non-material changes (e.g., clarifications or formatting updates) may take effect immediately upon posting.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you may discontinue use of the Services and terminate your account.

15. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator, that provision will be severed, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision unless expressly acknowledged in writing.

We will not be liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control, including but not limited to natural disasters, wars, terrorist acts, pandemics, power outages, internet failures, or government regulations.

These Terms, together with our Privacy Policy and any SOW or other written agreement between you and Loyltworks, constitute the entire agreement between you and us regarding the Services. These Terms supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral.
